Terms of Service

1. Acceptance of Terms
These Terms of Service are an agreement between you and UALLY CO LLC (identification number 405795689), a company based in Tbilisi, Georgia, which operates UnificAlly (the "Operator", "we", "us"). By accessing and using UnificAlly's services, you accept and agree to be bound by these terms. You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into a binding contract to use our services.
2. Service Description
The Operator provides, under the UnificAlly name, AI-powered API services including but not limited to:
- Video generation and processing
- Image creation and manipulation
- Audio and music generation
- Text processing and AI language models
3. User Accounts
Users must create an account to access our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each person may hold only one account. Creating, operating or controlling additional accounts, including to obtain promotions, bonuses or affiliate rewards more than once, is prohibited. You are responsible for all usage made with your API keys, including usage resulting from a leaked or shared key. You can limit exposure with per-key restrictions such as allowed models, allowed IPs, expiration and spend limits.
4. Payment, Balance and Refunds
Our services operate on a pay-per-use, pre-paid basis. You must maintain a positive account balance to use our APIs.
Your balance. Your account balance is a pre-paid usage entitlement, displayed in US dollars for pricing visibility only. It is not money held on your behalf and gives you no claim to cash: it is redeemable solely for services on this platform, and is non-withdrawable and non-transferable between accounts. Balance may also be added through promotions, the affiliate program and bonuses, so it does not necessarily correspond to any amount paid. Balance does not expire.
Promotions. Signup bonuses and other promotional balance are limited to one per person, and may also be limited per device or network. We may decline, withhold or remove promotional balance where we reasonably suspect that it was obtained through multiple accounts, automation, false information or other abuse.
Affiliate program. Affiliate rewards are available only for inviting genuine new users who are not you. You may not invite yourself, including through another account, device, network or identity that you use or control, and invites made from the same device or network as the inviter may not qualify. Affiliate balance is subject to review before it is moved to your balance or paid out. We may withhold, reverse or cancel affiliate rewards and affiliate balance, and reject withdrawal requests, where we reasonably suspect abuse. We may change or end the affiliate program at any time.
Failed requests. You are charged only for successfully completed requests. Failed generations are not billed.
Refunds.
- All balance purchases are final, non-refundable, and non-transferable, except as set out below or where required by applicable law.
- Promotional balance, affiliate balance, credit pack bonus balance, and any balance received free of charge is non-refundable at all times, as no payment was made for it.
- We will issue a refund for duplicate charges, billing errors, balance rendered unusable by a verified technical failure on our side, and in any other circumstances where a refund is required by consumer protection law applicable to you. Balance is not rendered unusable because a particular model is unavailable, degraded or retired, whether the cause lies with us or with the model's provider, as long as other models on the platform remain available to you.
- To request a refund, email support@unifically.com from the address on your account with the transaction reference. Eligible requests are reviewed and processed within 5 to 10 business days, returned to the original payment method. Payment processing fees may be deducted where applicable.
Before purchasing. Every new account receives free balance so you can try models before paying, and you can top up in small amounts at any time. We recommend confirming a model meets your needs with the free balance or a small top-up before purchasing more.
Consumer rights. Nothing in this section excludes, restricts or modifies any right or remedy you may have under consumer protection law applicable to you that cannot lawfully be excluded.
5. Acceptable Use
Users agree not to use our services for:
- Illegal activities or content
- Generating harmful, offensive, or inappropriate content
- Violating intellectual property rights
- Attempting to reverse engineer or compromise our systems
- Generating, distributing, or storing child sexual abuse material (CSAM). This is strictly prohibited and will result in immediate account termination and reporting to authorities
- Fraud or abuse of our promotions, bonuses or affiliate program, including creating multiple accounts, inviting yourself, or using automation, false identities or tools designed to disguise your device or location
We may suspend or terminate accounts that violate these terms immediately and without prior notice. To protect the service, we use automated fraud prevention based on account, device and network signals, as described in our Privacy Policy, and accounts may be suspended automatically. Balance on accounts terminated for breach of these terms is forfeited, and promotional, bonus and affiliate balance obtained through abuse is void. If you believe your account was suspended in error, contact support@unifically.com and a person will review your case.
6. Content, Outputs and Intellectual Property
You keep the rights to the content you provide, and we do not claim ownership of your generations. This section explains how rights in inputs and outputs work and what you are responsible for.
Your inputs. You retain all rights to the prompts, images, audio, and other materials you upload or submit ("Inputs"). You grant us and our model providers the limited right to process your Inputs solely to provide the service and generate your requested outputs. You are responsible for ensuring you have the necessary rights to your Inputs, including any faces, voices, logos, trademarks, or copyrighted material they contain.
Your outputs. To the extent we hold rights in the content you generate ("Outputs") and are permitted to grant them by the applicable model provider, we assign those rights to you, and you may use your Outputs commercially, including in products, advertising, and client work. Because Outputs are generated by AI, similar or identical Outputs may be produced for other users, and we cannot grant you exclusive rights in any Output.
Model provider terms. The Operator provides access to third-party AI models, and your use of each model and its Outputs is also subject to that model provider's terms and usage restrictions. Some models may limit commercial use, prohibit certain content, or attach other conditions. Where a provider's terms are more restrictive, those terms control, and we may restrict or disable functionality to comply with them.
No warranty of originality or non-infringement. Outputs are provided "as is". AI models can produce content that resembles existing works or real people, and we do not warrant that any Output is original, non-infringing, or cleared for any particular use. You are responsible for reviewing your Outputs and obtaining any clearances needed before using them.
Your responsibility. You are solely responsible for the Outputs you generate and how you use them, and you agree not to use them in any way that infringes intellectual property, publicity, or privacy rights or otherwise violates applicable law. You are responsible for obtaining any rights, licenses, or consents required for your Inputs and for your use of Outputs.
7. Service Availability
While our goal is to deliver high availability, we do not guarantee uninterrupted or error-free service, and service performance may vary. Models are provided by third-party partners. Outages, slowdowns, or changes on a provider's side are outside our control and do not constitute a breach of these terms. Your feedback is valuable and helps us improve. We reserve the right to modify, suspend, or discontinue any aspect of our service at any time, with or without notice.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services, and our total liability arising out of or relating to the services shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.
9. Changes to Terms
We reserve the right to modify these terms at any time. Users will be notified of significant changes. If you do not agree with the updated terms, you may stop using our services and request deletion of your account by contacting support@unifically.com. Continued use of our services after an update constitutes acceptance of the modified terms.
10. Governing Law
These terms are governed by the laws of Georgia, and any dispute arising out of or relating to these terms or our services shall be resolved in the courts of Tbilisi, Georgia, except where consumer protection law applicable to you provides otherwise.
